As every year, we have made amendments to our voting guidelines and the catalogue of criteria. These have been approved by our board of experts.
The following amendments have been made to our voting guideline for 2023:
- 4.10 Election of the Chairman of the Board of Directors: Inrate can accept CEO duality for a maximum of 2 years, if a comprehensible transitional solution is given;
- 4.17 Proposals by shareholders and the Board of Directors: Inrate supports shareholder proposals if a comprehensible justification is given that the long-term interests of the company are protected.
With regard to the catalogue of criteria, we have made the following slight adjustment:
- 3.2 Competencies of the Board of Directors: The competent experience in Sustainability represented in the Board of Directors has been added.
